Terms and Conditions & Cancellation Policy

PART 1: GTC for Events & Rentals (Project Business)
GENERAL TERMS AND CONDITIONS

Lumynos Labs GmbH
Kolonnenstraße 8
10827 Berlin
General
All contracts concluded between Lumynos Labs GmbH (hereinafter “Contractor”) and the contractual partner (hereinafter “Client”) are subject exclusively to the following General Terms and Conditions (hereinafter “GTC”). References to conflicting terms and conditions of business or purchase are hereby expressly rejected. These GTC also apply to all future transactions between the Contractor and the Client without the need for renewed notification of their validity. Any deviating agreements must be made in writing to be effective.

Conclusion of Contract
The contractor provides the client with a physical live marketing or virtual marketing tool, including all services and specifications mentioned in the offer (hereinafter, all items listed in the offer are collectively referred to as the “Marketing Tool”). A contract is concluded upon the client's written confirmation, provided the underlying offer validity is maintained. The period of use for the marketing tool is defined in the offer.

Remuneration, Deadlines
All prices mentioned here and listed in the offer are exclusive of the applicable value-added tax. Costs that are not listed in the offer but are mandatory for the successful delivery or use of the marketing tool (e.g., customs duties, fees, taxes) must be determined and paid for by the client. The client shall pay the contractor the price defined in the offer. The price is due 14 days after the offer is signed. This provision shall be superseded if other payment terms are specified in the offer. Upon expiration of the 14-day payment period, the client is automatically in default without the need for a reminder. All discounts based on advance payment will be forfeited without replacement, and the original invoice amount will become due. In the event of such default, the following costs will be incurred by the client:

During the period of delay, the price shall bear interest at the currently applicable interest rate (currently 9 percentage points above the statutory base interest rate).

As defined in Section 288 (5) of the German Civil Code (BGB), a flat-rate late payment fee of €40.00 will be charged.

Additional expenses for materials and postage for the mailing of formal notices will be invoiced to the client.

If a physically provided marketing tool (e.g., touch system or photo system) is not returned within the agreed period as defined under "Cooperation Obligations," the contractor reserves the right to charge the client €50.00 for each additional hour beyond the deadline, up to a maximum of the agreed daily rental price per day of delay.

Retention of Title
The goods remain the property of the contractor throughout the entire rental period.

Cooperation Obligations
The client is obligated to cooperate in order to fulfill all services listed in the offer. The contractor expressly points out that it assumes no liability for the fulfillment of these obligations, although they are mandatory for the proper use of the marketing tool:

Timely delivery of all requested design and programming specifications in the specified file format, no later than seven business days before the previously defined start of the order.

Provision of a stable internet connection at the location where the live marketing tool is set up. A continuous performance of at least 50 Mbit/s download and 25 Mbit/s upload must be guaranteed. This bandwidth must be available exclusively for the device and may not be used as a shared line.

Provision of a power connection (220V) at the setup location.

Notification of all essential factors critical to the setup, dismantling, delivery, and operation of the physical marketing tool, no later than seven business days before the start of the event.

Acceptance of the physical marketing tool at a location mutually agreed upon by both parties. The client must be available at that location for the contractor or a third party commissioned by the contractor between 9:00 a.m. and 5:00 p.m. Any deviation from this time window must be requested by the client in writing at least three business days in advance and will incur additional costs, which will be invoiced to the client.

Handover of the physical marketing tool at a location mutually agreed upon by both parties. The client must be available at that location for the contractor or a third party commissioned by the contractor between 9:00 a.m. and 6:00 p.m. Any deviation from this time window must be requested by the client in writing at least three business days in advance and will incur additional costs, which will be invoiced to the client.

Sufficient and uniform lighting for the activity area, provided a physical photo system has been booked.

The client agrees to hand over the physical marketing tool to the contractor's shipping partner on the day of collection. Collection generally takes place between 9:00 a.m. and 5:00 p.m. For failed collection attempts, i.e., visits where the client is not present to hand over the physical photo marketing tool, the client will be charged EUR 49.00.

Cancellation and Termination
1. For sales contracts and long-term rentals (over 2 weeks): Since the hardware systems are individually manufactured and configured for the client and blocked for the period, cancellation or ordinary termination of the contract after conclusion is excluded. Upon conclusion of the contract (signature of the offer or receipt of the order confirmation), the full remuneration of 100% becomes due, regardless of whether the client accepts or uses the product. This applies to both the purchase of goods and rental agreements with an agreed duration of more than 2 weeks.

2. For short-term rentals (up to 2 weeks rental duration): The contractor grants the client a contractual right of cancellation only for rental agreements with a maximum duration of 2 weeks (e.g., event deployments). The cancellation must be made in writing. In this case, the following cancellation fees apply:

Cancellation up to the 30th day before the start of the rental period: 30% of the order value.

Cancellation from the 21st day before the start of the rental period: 50% of the order value.

Cancellation from the 14th day before the start of the rental period: 80% of the order value.

Cancellation from the 6th day before the start of the rental period: 100% of the order value.

The right to terminate for good cause (extraordinary termination) remains unaffected for both parties.

Handling of Rental Property
The client is obligated to treat the product with care, protect it from dirt and external influences, and return it completely cleaned. The product/marketing tool may only be used outdoors in covered areas. It must be set up on a level, solid surface. Environmental conditions must also be observed. The client is prohibited from:

Sub-licensing or selling the products/marketing tools.

Exposing the products/marketing tools to rain, moisture, excessive cold/heat, relative humidity of over 75%, or direct sunlight. For optimal system stability, an ambient temperature of 15–30 degrees Celsius is recommended.

Liability of the Contractor
The contractor is liable—regardless of the legal grounds—for intent and gross negligence. In cases of simple negligence, the contractor is only liable for:

damages resulting from injury to life, body, or health.

damages resulting from the breach of a material contractual obligation (an obligation whose fulfillment is essential for the proper execution of the contract and on whose compliance the contractual partner regularly relies and may rely); in this case, however, the contractor's liability is limited to the compensation of foreseeable, typically occurring damage. The liability limitations resulting from this paragraph do not apply if the contractor has maliciously concealed a defect or assumed a guarantee for the quality of the goods. The same applies to claims by the client under the Product Liability Act.

Furthermore, the contractor assumes no liability for:

a potential failure of the mobile internet connection and any resulting economic losses for the client.

a potential failure of the photo marketing tool's technology and any resulting economic losses for the client.

the image quality of the marketing tool's photos. This depends on the respective lighting conditions as well as the background (e.g., green screen) and may therefore vary.

Support, Repairs, Theft
The client is liable for their event participants, visitors, and users of the marketing tool in the event of damage. If a product is damaged (e.g., dented or heavily scratched), the client shall bear all costs for the repair of all damages incurred, carried out by the contractor or an external service provider. The costs for repairs are based on the price list attached in Appendix 1 (if available). The client is obligated to inspect the product for damage immediately upon arrival at the designated location. In the event of damage, the client must immediately submit a damage report in writing or via the support hotline (Tel. +4930 5200 45 824; availability: Mon.–Fri. from 9:00 a.m. – 6:00 p.m.) to the contractor. By using the marketing tool without a prior damage report, the client declares the live marketing tool to be free of damage. In the event of a defect, the client is obligated to contact the support hotline immediately (Tel. +4930 5200 45 824). The client is prohibited from altering the live marketing tool from its original form or disassembling it, unless this has been exceptionally approved as part of a repair process agreed upon in writing with the contractor. The contractor generally offers the client free support via telephone and remote maintenance, provided it is a rental transaction and the issues are the responsibility of the contractor. Support is available Monday to Friday from 9:00 a.m. to 6:00 p.m., primarily via live chat on the website. Any further service—e.g., in the areas of support, graphics, programming, or conceptual consulting—that goes beyond this will be billed based on an individual cost rate. If a trip to the location of the live marketing tool is necessary, an hourly rate of €79.00 and a mileage allowance of €0.40/km will be charged for the travel.

If the product used, the associated software and hardware, or other provided service components are stolen or lost, the client is liable for the replacement of the equipment. The basis for assessment is the respective replacement value.

Mention of the customer reference
The contractor is entitled to name the client as a reference customer on their website, on their pages created on social networks (in particular Facebook, Twitter, Instagram, LinkedIn, TikTok), as well as in print advertising materials (such as brochures, posters, and flyers). The mention of the client includes, in particular, but is not limited to, the following aspects:

Mention of word & figurative mark

Publication of key performance indicators of the marketing tool usage (e.g., number of prints, number of photos, number of collected e-mail addresses, number of photos shared via social media, etc.).

Publication of a description of the campaign.

Publication of depictions, renderings, or photos of the marketing tools. Consequences resulting from the use of the above-mentioned aspects cannot be held against the contractor.

Data Protection
The client undertakes to treat all documents and files provided by the contractor (e.g., offers, customer examples, layout templates) as strictly confidential and not to pass them on to third parties. The client assumes liability for all content transmitted to the contractor for further processing with regard to all potential rights (such as personal rights, trademark and design rights, copyrights, etc.). The client assumes liability for the image and video material created during the period of use as well as the content of the situations depicted therein. All content generated with the marketing tools will be automatically deleted by the contractor within 30 days after the end of use. Only upon written request by the client before the period of use will the photos be handed over to them immediately after the period of use, i.e., before automatic deletion. The client is obligated to verify the release for the publication of the photos created with the marketing tool and the further use of user data (e.g., e-mail addresses) themselves. The contractor assumes no liability for the further use of the data. The client is always obligated to comply with the regulations of the relevant data protection provisions.

Express Surcharges
All design and programming specifications requested by the client must be made available to the contractor in the specified file format no later than seven working days before the period of use. If delivery occurs later, the client will be charged an additional express fee of €150.00 plus 19% VAT. If a booking is made less than 7 working days before the start of use, this regulation becomes void and an additional processing fee of 10% of the total offer amount is charged instead.

Final Provisions
German law applies exclusively. With respect to a consumer, this choice of law only applies insofar as it does not restrict mandatory legal provisions of the state in which they have their habitual residence. If the client is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships between the client and the contractor is the registered office of the contractor. This also applies if the contractor has no general place of jurisdiction in Germany or the EU, or if their place of residence or habitual residence is unknown at the time the action is filed. Should individual provisions of this contract be invalid or unenforceable or become invalid or unenforceable after the conclusion of the contract, the validity of the remainder of the contract shall remain unaffected. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision whose effects come closest to the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The above provisions apply accordingly in the event that the contract proves to be incomplete.

PART 2: Online Shop GTC & Purchase of Hardware
General Terms and Conditions for the online shop of vyndo vending as well as the purchase of hardware whose order is not triggered via our online shops

Lumynos Labs GmbH Kolonnenstraße 8 10827 Berlin Germany
Phone: +4930 5200 45 824 E-Mail: mail@lumynoslabs.com

(hereinafter: provider)

for the sale of products to entrepreneurs (hereinafter: customers)

Scope of Application
The sale of the provider's products, which are offered, for example, via the online shop at the URL mentioned above, takes place exclusively on the basis of the following General Terms and Conditions (GTC) in the version valid at the time of the conclusion of the contract. These GTC apply exclusively. Terms and conditions of the customer that deviate from these GTC do not apply unless the provider and the customer have expressly agreed otherwise. Unless otherwise agreed, these GTC also apply to the following contracts: delivery of goods with digital elements.

Definition, Scope
An entrepreneur within the meaning of these GTC is a natural or legal person or a partnership with legal capacity that acts in the exercise of its commercial or independent professional activity when concluding a legal transaction. The subject matter of the contract is the one-time delivery of goods that are not prefabricated and for the production of which an individual selection or determination by the consumer is decisive or which are clearly tailored to the personal needs of the consumer.

Conclusion of Contract
The offers on the provider's website represent a non-binding invitation to the customer to order products (goods/services). By submitting the order (clicking the "Purchase" button) on the provider's website, the customer makes a binding offer to conclude a contract. Confirmation of receipt of the order follows immediately after the order is submitted and does not, in principle, constitute acceptance of the contract. The provider may declare acceptance within five days by transmitting a written order confirmation or an order confirmation in text form (e-mail), whereby the receipt of the order confirmation by the customer is decisive, or by delivering the ordered goods, whereby the receipt of the goods by the customer is decisive, or by requesting payment from the customer after the order has been placed. If several of the aforementioned alternatives exist, the contract is concluded at the time when one of the aforementioned alternatives occurs first. If the provider does not declare acceptance within the aforementioned period, this is considered a rejection with the result that the customer is no longer bound by their declaration of intent. When submitting an offer via the provider's online order form, the contract text is stored by the provider and sent to the customer in text form (e.g., e-mail, fax, or letter) along with these GTC after the order has been submitted. In addition, the contract text is archived on the provider's website and can be accessed free of charge by the customer via their password-protected customer account by providing the corresponding login data, provided the customer has created a customer account in the provider's online shop before submitting their order. Before bindingly submitting the order via the provider's online order form, the customer can continuously correct their entries using the usual keyboard and mouse functions. Furthermore, all entries are displayed again in a confirmation window before the binding submission of the order and can also be corrected there using the usual keyboard and mouse functions. The German and English languages are available for the conclusion of the contract.

Special provisions for the sale of goods with digital elements
Goods with digital elements within the meaning of these GTC are products that contain digital content or digital services (hereinafter "digital products") or are connected to them in such a way that the goods cannot fulfill their functions without them. In addition to the delivery of the goods, the provider is obligated to provide the digital content. The regulations on the "Special provisions for the sale of digital content" apply accordingly.

Special conditions for the processing of goods according to specific customer requirements
If, according to the content of the contract, the provider is also obligated to process the goods according to specific customer requirements in addition to the delivery of goods, the customer must provide the provider with all content required for processing, such as text, images, or graphics, in the specified file formats, formatting, and image/file sizes, and grant the necessary usage rights for this purpose. The customer is solely responsible for procuring and acquiring the rights to this content. The customer declares and assumes responsibility for the fact that they possess the right to use the provided content. In particular, they shall ensure that this does not infringe upon the rights of third parties, especially copyright, trademark, and personal rights. The customer shall indemnify the provider against any claims by third parties that may be asserted against the provider in connection with an infringement of their rights through the contractual use of the customer's content by the provider. In this context, the customer also assumes the necessary costs of legal defense, including all court and attorney fees at the statutory rate. This does not apply if the infringement is not the fault of the customer. In the event of a claim by third parties, the customer is obligated to provide the provider immediately, truthfully, and completely with all information necessary for the examination of the claims and a defense. The provider reserves the right to reject processing orders if the content provided by the customer for this purpose violates legal or official prohibitions or public policy. This applies in particular to the provision of unconstitutional, racist, discriminatory, offensive, harmful to minors, and/or violence-glorifying content.

Handling of Goods
The customer is obligated to handle the product with care. If a product is damaged due to the customer's fault before the transfer of risk, the customer shall bear all costs for the repair of all damages incurred. The product may only be used outdoors in covered areas. It must be set up on a level, solid surface. Environmental conditions must also be observed. The customer is prohibited from:

Exposing the physical products to rain, moisture, excessive cold/heat, relative humidity exceeding 75%, or direct sunlight. For optimal system stability, an ambient temperature of 15 – 30 degrees Celsius is recommended.

Cancellation and Termination
1. For sales contracts and long-term rentals (over 2 weeks): Since the hardware systems are individually manufactured, configured, and provided for the customer, cancellation or ordinary termination of the contract after the contract has been concluded is excluded. Upon conclusion of the contract (order/order confirmation), the full remuneration of 100% becomes due, regardless of whether the customer accepts or uses the product. This applies to both the purchase of goods and rental agreements with a term of more than 2 weeks.

2. For short-term rentals (up to 2 weeks rental duration): The provider grants the customer a contractual right of cancellation only for rental agreements with a maximum term of 2 weeks. The cancellation must be made in writing. In this case, the following cancellation fees apply:

Cancellation up to the 30th day before the scheduled delivery date: 30% of the order value.

Cancellation from the 21st day before the scheduled delivery date: 50% of the order value.

Cancellation from the 14th day before the scheduled delivery date: 80% of the order value.

Cancellation from the 6th day before the scheduled delivery date: 100% of the order value.

Cooperation Obligations
The customer has a duty to cooperate in the fulfillment of all services listed in the offer. The provider expressly points out that it assumes no liability for their fulfillment, but that they are mandatory for the proper use of the products:

Provision of a stable internet connection at the installation site. A continuous performance of at least 50 Mbit/s download and 25 Mbit/s upload must be guaranteed. This bandwidth must be available exclusively for the device and may not be used as a general line (shared line).

Sufficient and uniform lighting of the event area, provided a physical photo booth has been booked.

Mention of customer reference
The provider is entitled to name the customer as a reference client on its website, on its pages created on social networks (in particular Facebook, Twitter, Instagram, LinkedIn, TikTok), and in print advertising materials (such as brochures, posters, and flyers). The mention of the customer includes, in particular, but is not limited to, the following aspects:

Mention of word & figurative marks

Publication of the campaign's key performance indicators (e.g., number of prints, number of photos, number of email addresses collected, number of photos shared via social media, etc.).

Publication of a description of the campaign.

Publication of depictions, renderings, or photos of the products. Consequences resulting from the use of the above-mentioned aspects cannot be held against the provider.

Redemption of Promotional Vouchers
Vouchers that are issued free of charge by the provider as part of promotional campaigns with a specific validity period and which cannot be purchased by the customer (hereinafter "promotional vouchers") can only be redeemed on the provider's website under the corresponding conditions. Promotional vouchers can only be redeemed by consumers. Individual products may be excluded from the voucher promotion if a corresponding restriction is stated in the content of the promotional voucher. If the value of the promotional voucher is insufficient to cover the order, one of the other payment methods provided by the provider can be used to settle the difference. The promotional voucher will not be refunded if the customer returns goods paid for in whole or in part with the promotional voucher within the scope of their statutory right of withdrawal. The promotional voucher is transferable. The provider may perform with discharging effect to the respective holder who redeems the promotional voucher. This does not apply if the provider has knowledge or grossly negligent ignorance of the non-entitlement, legal incapacity, or lack of authority of the respective holder.

Payment
The prices listed on the provider's website at the time of the order apply. All prices are exclusive of statutory VAT, which is only displayed at checkout. The payment methods listed on the provider's website are available. If the customer is in default of payment, the provider is entitled to charge businesses default interest at a rate of nine percentage points above the base interest rate of the European Central Bank. In the event that the provider claims further damages for delay, the customer has the opportunity to prove that the claimed damages for delay were not incurred at all or were incurred to a lesser extent.

Retention of Title
The seller retains ownership of the delivered goods until all claims from an ongoing business relationship have been settled in full. If the customer is acting as a business, they are entitled to resell the reserved goods in the ordinary course of business. The customer assigns to the seller in advance all claims against third parties arising from this in the amount of the respective invoice value (including VAT). This assignment applies regardless of whether the reserved goods have been resold without or after processing. The customer remains authorized to collect the claims even after the assignment. The seller's authority to collect the claims themselves remains unaffected. However, the seller will not collect the claims as long as the customer meets their payment obligations to the seller, is not in default of payment, and no application for the opening of insolvency proceedings has been filed.

Delivery
Delivery times can be found on the provider's website. The provider will indicate any deviating delivery times on the respective product page. The start of the delivery time specified by the provider is subject to the timely and proper fulfillment of the customer's obligations, in particular the correct provision of the delivery address as part of the order. If goods are delivered by a freight forwarder, delivery is "curbside" unless otherwise agreed, meaning to the public curb nearest to the delivery address. If the customer is acting as a business, the risk of accidental loss and accidental deterioration of the sold goods passes to the customer as soon as the provider has handed the item over to the freight forwarder, carrier, or other person or institution designated to carry out the shipment.

Warranty
Statutory liability for defects applies. By way of derogation, the following applies to contracts for the supply of goods: If the customer is acting as a business,

the provider has the choice of the type of supplementary performance;

for new goods, the limitation period for defects is one year from the delivery of the goods;

for used goods, rights and claims due to defects are excluded;

the limitation period does not restart if a replacement delivery is made as part of the liability for defects. The liability limitations and shortened periods regulated above do not apply to claims for damages and reimbursement of expenses by the customer in cases where the provider has fraudulently concealed the defect, for goods that have been used for a building in accordance with their customary use and have caused its defectiveness, or for contracts for the delivery of goods with digital elements. Furthermore, for entrepreneurs, the statutory limitation periods for any existing statutory right of recourse remain unaffected. If the customer acts as a merchant within the meaning of Section 1 of the German Commercial Code (HGB), they are subject to the commercial duty to inspect and give notice of defects according to Section 377 HGB. If the customer fails to comply with the notification obligations stipulated therein, the goods are deemed approved.

Liability
The provider is liable to the customer for all contractual, quasi-contractual, and statutory claims, including tortious claims for damages and reimbursement of expenses, as follows:

The provider is liable without limitation for any legal reason in the event of intent or gross negligence, for intentional or negligent injury to life, limb, or health, based on a guarantee promise (unless otherwise stipulated), or due to mandatory liability such as under the Product Liability Act.

If the provider negligently breaches a material contractual obligation, liability is limited to the foreseeable damage typical for the contract, unless unlimited liability applies in accordance with the preceding clause. Material contractual obligations are those whose fulfillment is essential for the proper execution of the contract and on whose compliance the customer may regularly rely. Otherwise, any liability of the provider is excluded. The above liability regulations also apply to the provider's liability for its vicarious agents and legal representatives. The customer shall indemnify the provider against any third-party claims—including the costs of legal defense at their statutory rates—asserted against the provider due to unlawful or contract-violating actions by the customer.

Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Sales Convention. If the customer is a merchant, a legal entity under public law, or a special fund under public law, the court at the provider's registered office shall have jurisdiction, unless an exclusive place of jurisdiction is established for the dispute. This also applies if the customer does not have a place of residence within the European Union. The provider's registered office can be found in the header of these GTC. Should any provision of this contract be or become invalid or unenforceable, the remaining provisions of this contract shall remain unaffected.

PART 3: Cancellation Policy & Notice of Cancellation
Cancellation Policy & Exclusion of Cancellation Lumynos Labs GmbH
1. No right of withdrawal in B2B transactions
The services offered by Lumynos Labs GmbH are aimed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, or special funds under public law. Returns of non-defective goods are therefore generally excluded.

2. Exclusion of cancellation for purchases & long-term rentals
We expressly point out that no contractual right of withdrawal or cancellation is granted for purchase agreements or rental agreements with a term of more than 2 weeks. Since our products ("Marketing Tools") are individually manufactured, configured, and branded according to customer specifications, the contract is binding upon signature or order confirmation. The client is obligated to accept the product and pay 100% of the agreed price, even if they no longer require the product.

3. Cancellation only for short-term rentals (events)
We offer a tiered cancellation option exclusively for short-term rentals (rental period of up to a maximum of 2 weeks). Should you wish to terminate such a short-term rental agreement prematurely, the cancellation fees according to our General Terms and Conditions (GTC) apply.

Right of withdrawal for standalone software components
(Applies only if separate standard software licenses are purchased without hardware)

You have the right to withdraw from this contract within fourteen days without giving any reason, provided it relates exclusively to the provision of separate standard software that is not part of a hardware bundle. The withdrawal period is fourteen days from the day the contract is concluded.

To exercise your right of withdrawal for software, you must inform us

Lumynos Labs GmbH Kolonnenstraße 8 10827 Berlin Germany Phone: +4930 5200 45 824 Email: mail@lumynoslabs.com

by means of a clear statement (e.g., a letter sent by post or an email) regarding your decision to withdraw from this contract.

Consequences of withdrawal (software): If you withdraw from this contract (regarding the software), we shall reimburse all payments received from you for the software without undue delay and no later than fourteen days from the day on which we receive notification of your withdrawal from this contract.

Expiration of the right of withdrawal (software): For contracts regarding the delivery of digital content not on a physical medium, the right of withdrawal also expires if we have begun performance of the contract after you have expressly consented to us starting performance before the withdrawal period has expired and you have confirmed your knowledge that by giving your consent, you lose your right of withdrawal upon the commencement of the contract.
